Circle said Friday it has received a New York limited-purpose trust charter, bolstering its state-level regulatory standing for USDC issuance and other regulated offerings. The New York Department of Financial Services (NYDFS) granted the charter to Circle Internet Trust Company LLC, which will operate as Circle New York Trust. Circle stressed that this state authorization complements, rather than replaces, its recent federal green light from the U.S. Office of the Comptroller of the Currency (OCC) to establish a nationally supervised trust bank. Circle describes New York as its global headquarters and said securing a state trust charter has been a long-term goal, citing the regulatory clarity provided by the NYDFS. CEO Jeremy Allaire called the NYDFS an "international standard setter," saying its oversight places USDC within a "strong and respected regulatory framework." Circle noted its relationship with the NYDFS dates to 2015, when it became the first company to receive a BitLicense. The company is positioning the two trust structures for different functions. The New York trust will continue to handle USDC issuance. Separately, the OCC approved the formation of First National Digital Currency Bank, N.A., which will operate under the Circle National Trust name as a federally supervised trust bank focused on fiduciary digital-asset custody and other nationally supervised trust services. Circle added that USDC reserve management will remain outside the OCC-chartered bank during its initial phase, with reserve activities potentially moving later as the institution matures. The New York charter arrives as Circle broadens its payments and blockchain push. On July 27, the company disclosed it acquired more than 680 IBM patent families—nearly 1,000 issued patents worldwide—spanning blockchain infrastructure, banking, payments, enterprise systems, insurance, supply-chain verification and secure cloud operations. Circle said the portfolio is intended to support products including USDC, the Circle Payments Network and Arc; financial terms were not disclosed. Earlier in July, Circle also signed memorandums of understanding with South Korea's Kakao Group and fintech Toss to explore blockchain payments, cross-border settlement and stablecoin infrastructure. Those discussions include potential connectivity between future KRW-denominated digital assets, USDC and existing financial networks, though no commercial launches have been announced. Circle said it does not plan to issue a won-denominated stablecoin itself, instead positioning USDC as infrastructure to link local digital currencies with global payment rails. With approvals now spanning both New York State and federal frameworks, Circle is expanding its U.S. regulatory footprint while keeping flexibility around issuance and custody. Investors and industry participants will focus on the timing of any reserve-management shift into the OCC bank, the scope of reserve-related activities that might migrate, and how Circle's overseas partnerships develop around USDC interoperability.
